Terms of Service

Welcome to Bousol. These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Paon Bleu Inc., doing business as Bousol ("Bousol," "we," "us," or "our"). By accessing or using the Bousol website (bousolapp.com), mobile application, or any of our services (collectively, the "Platform"), you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Platform.

1. About Bousol

Paon Bleu Inc. (DBA Bousol) is a registered Money Services Business (MSB) with the Financial Crimes Enforcement Network (FinCEN), Registration #31000274011519, headquartered in the United States. Bousol provides digital financial services built on the Stellar blockchain, including:

Remittances: Send money digitally to recipients in Haiti and other supported destinations
Sòl (ROSCA) Savings Circles: Participate in rotating savings and credit associations managed on the Platform
Digital Wallet: Hold, send, and receive USDC and other supported stablecoins
Bulk Disbursements: (Enterprise) Disburse payments to multiple recipients simultaneously
Collections: (Enterprise) Collect payments digitally with real-time reconciliation
Treasury Management: (Enterprise) Hold and manage stablecoin reserves
Compliance Reporting: (Enterprise) Generate regulatory-ready AML/KYC reports

2. Eligibility

To use the Platform, you must:

Be at least 18 years of age
Be a legal resident of the United States, Canada, or another jurisdiction where our services are available and lawful
Provide accurate and complete identity information as required for account verification
Not be on any government sanctions list (OFAC, UN, EU, or equivalent)
Not have been previously suspended or removed from the Platform
Have the legal capacity to enter into a binding agreement

By creating an account, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Verification

3.1 Account Creation

You must create an account to access most Platform features. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your login credentials confidential and not share them with any third party
Notify us immediately at info@bousolapp.com if you suspect unauthorized access to your account

3.2 Identity Verification (KYC)

As a regulated MSB, we are legally required to verify your identity before you can send or receive funds. You agree to:

Provide a valid government-issued photo identification
Complete any additional verification steps we may require (e.g., selfie verification, proof of address, source of funds documentation)
Promptly respond to requests for updated or additional documentation

We reserve the right to limit, suspend, or close your account if verification cannot be completed or if we determine that your information is inaccurate or fraudulent.

3.3 Account Responsibility

You are solely responsible for all activity that occurs under your account. Bousol is not liable for any loss arising from unauthorized use of your account where you have failed to maintain the security of your credentials.

4. Services and Transactions

4.1 Remittances

Bousol enables you to send money to recipients in supported countries. When you initiate a remittance:

You authorize Bousol to process the transfer on your behalf
You confirm that the transaction is lawful and not related to any prohibited activity
Exchange rates and fees are displayed before you confirm the transaction and are final at the time of confirmation
Processing times vary depending on the payment method, destination, and payout method selected

4.2 Sòl (ROSCA) Savings Circles

Bousol facilitates digital rotating savings and credit associations (ROSCA), known locally as "sòl." By participating:

You agree to make contributions on the schedule specified by the sòl circle
You understand that sòl payouts follow a predetermined rotation schedule
Missing a contribution may result in penalties, exclusion from the circle, or loss of payout eligibility, as defined by the circle terms
Bousol acts as a facilitator and smart-contract manager, not a guarantor of participant performance

4.3 Digital Wallet

Your Bousol wallet allows you to hold, send, and receive supported digital assets (including USDC and platform-issued HTG and USD tokens) on the Stellar blockchain:

Blockchain transactions are irreversible once confirmed on the network
You are responsible for ensuring the accuracy of recipient wallet addresses
Bousol is not responsible for transactions sent to incorrect addresses
Your wallet is non-custodial; Bousol does not hold or control your private keys. Key management is powered by Privy, a third-party embedded wallet provider that enables secure, user-controlled authentication
You are solely responsible for maintaining access to your wallet credentials

4.4 DeFi Savings

Bousol may offer decentralized finance (DeFi) savings features that allow you to earn yield on your USD balance through integrated lending protocols. By using DeFi Savings:

You understand that your deposited funds may be converted to USDC and supplied to a third-party liquidity pool
Yield rates are variable, not guaranteed, and depend on pool utilization and market conditions
The amount of USDC supplied may differ slightly from your USD deposit due to collateral factors and exchange rate fluctuations
On-chain risks exist, including smart contract vulnerabilities, liquidity constraints, and potential loss of funds
You may withdraw your funds at any time, subject to available liquidity in the pool
Bousol does not guarantee any returns on DeFi Savings deposits

4.5 Credit Services

Bousol may offer credit-related features, including:

Emergency Credit Requests: Access to short-term credit during emergencies, subject to eligibility criteria and available pool funds
Cross-Group Credit Lending: The ability to lend or borrow ROSCA funds across groups, fostering community support and financial empowerment

Credit features are subject to additional terms, eligibility requirements, and applicable lending regulations. Availability may vary by jurisdiction.

4.6 Enterprise Services

Bulk disbursements, collections, treasury management, and compliance reporting are governed by separate enterprise service agreements. Contact info@bousolapp.com for enterprise terms.

5. Fees and Pricing

5.1 Transaction Fees

Bousol charges fees for certain transactions and services. All applicable fees are:

Disclosed to you before you confirm a transaction
Deducted from the transaction amount or charged separately, as specified
Non-refundable once a transaction has been processed

5.2 Exchange Rates

Where currency conversion is involved, Bousol applies the exchange rate displayed at the time of transaction confirmation. Exchange rates may fluctuate and are not guaranteed until a transaction is confirmed.

5.3 Third-Party Fees

Additional fees may be charged by third-party payment processors (including but not limited to MoneyGram, Stripe, PayPal), banks, mobile money operators, ACH networks, or blockchain network fees. These are outside our control and are your responsibility.

5.4 Fee Changes

We may modify our fee structure at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance.

6. Prohibited Activities

You agree not to use the Platform for:

Money laundering, terrorist financing, or any activity that violates AML/CTF laws
Transactions involving sanctioned countries, entities, or individuals (OFAC, UN, EU sanctions)
Fraud, identity theft, or impersonation of another person
Purchasing illegal goods or services
Circumventing transaction limits, verification requirements, or Platform controls
Interfering with, disrupting, or attempting to gain unauthorized access to the Platform or its infrastructure
Using automated systems, bots, or scripts to access the Platform without our written consent
Reverse engineering, decompiling, or disassembling any part of the Platform
Any other activity that violates applicable local, state, federal, or international law

Violation of this section may result in immediate account suspension or termination, reporting to law enforcement, and forfeiture of funds as permitted by law.

7. Compliance and Regulatory

7.1 AML/KYC Obligations

Bousol is required to comply with the Bank Secrecy Act (BSA), FinCEN regulations, and applicable state money transmitter laws. We may:

Request additional documentation at any time
Place holds on transactions pending verification
File Suspicious Activity Reports (SARs) with FinCEN without notifying you
Refuse or reverse transactions that we believe may violate applicable laws

7.2 Transaction Monitoring

All transactions are monitored for suspicious activity. We use automated systems and manual review to detect and prevent financial crime.

7.3 Sanctions Compliance

Bousol screens all users and transactions against OFAC, UN, EU, and other applicable sanctions lists. Transactions involving sanctioned parties or jurisdictions will be blocked.

7.4 Tax Reporting

You are solely responsible for determining and fulfilling your tax obligations. Bousol may issue tax forms (e.g., 1099-K) or report transaction data to tax authorities as required by law.

8. Intellectual Property

8.1 Our Property

The Platform, including its design, code, content, logos, trademarks (Bousol, Paon Bleu), and all related intellectual property, is owned by Paon Bleu Inc. and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms.

8.3 User Content

Any content you submit to the Platform (e.g., profile information, communications) remains yours, but you grant Bousol a non-exclusive, worldwide, royalty-free license to use, display, and process such content as necessary to provide the services.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, available at [bousolapp.com/privacy]. The Privacy Policy describes how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

10. Disclaimers

10.1 "As Is" Provision

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Financial Advice

Bousol does not provide financial, investment, tax, or legal advice. The services are tools for financial transactions, not advisory services. Consult qualified professionals for financial decisions.

10.3 Blockchain and DeFi Risks

You acknowledge the inherent risks of blockchain-based transactions and DeFi features, including:

Irreversibility of confirmed transactions
Potential for network delays or congestion
Stablecoin value fluctuations (though designed to be pegged, stablecoins may deviate from their intended value)
Regulatory changes that may affect digital asset services
Smart contract vulnerabilities, including in third-party lending protocols
Liquidity risks in DeFi pools that may affect withdrawal timing or amounts
Collateral factor adjustments that may cause supplied amounts to differ from deposited amounts
Platform-issued token (HTG, USD) value depends on issuer backing and may not always be redeemable at par

10.4 Credit Risks

If you participate in credit features (Emergency Credit Requests, Cross-Group Credit Lending):

Credit availability is not guaranteed and depends on pool funds and eligibility
Failure to repay credit obligations may result in account restrictions, exclusion from future circles, and reporting
Bousol acts as a facilitator, not a lender or guarantor, for peer-to-peer credit features

10.5 Third-Party Services

Bousol integrates with third-party services (including MoneyGram, Stripe, PayPal, Stellar, and DeFi lending protocols). We are not responsible for the availability, accuracy, or performance of these third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

BOUSOL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO BOUSOL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
WE SHALL NOT BE LIABLE FOR LOSSES RESULTING FROM: UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO PROTECT YOUR CREDENTIALS; TRANSACTIONS SENT TO INCORRECT ADDRESSES; FORCE MAJEURE EVENTS; OR ACTIONS OF THIRD-PARTY SERVICE PROVIDERS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Paon Bleu Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any applicable law or regulation
Your violation of any third party's rights
Any fraudulent or illegal activity conducted through your account

13. Account Suspension and Termination

13.1 By You

You may close your account at any time by contacting info@bousolapp.com. Account closure is subject to:

Completion or cancellation of pending transactions
Withdrawal of remaining funds in your wallet
Satisfaction of any outstanding obligations (e.g., sòl contributions)

13.2 By Bousol

We may suspend or terminate your account, with or without notice, if:

You violate these Terms or any applicable law
We are required to do so by law, regulation, or court order
We detect suspicious or potentially fraudulent activity
You fail to complete identity verification
Your account has been inactive for 12 or more consecutive months

13.3 Effect of Termination

Upon termination, your right to use the Platform ceases. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at info@bousolapp.com and attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration

If we cannot resolve the dispute informally, any claim arising from these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Raleigh, North Carolina, USA.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law principles. For any disputes not subject to arbitration, the exclusive jurisdiction shall be the state and federal courts located in Wake County, North Carolina.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

We will update the "Last Updated" date at the top of this page
We will notify you via email or in-app notification at least 30 days before the changes take effect
Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms

If you do not agree with the modified Terms, you must stop using the Platform and close your account.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable enterprise service agreements, constitute the entire agreement between you and Bousol regarding your use of the Platform.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Bousol may assign its rights and obligations without restriction.

17.5 Force Majeure

Bousol shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, sanctions, blockchain network outages, or internet service disruptions.

17.6 Language

These Terms are provided in English. Translations in French or Haitian Creole may be made available for convenience, but the English version shall prevail in the event of any conflict.
